These Terms of Use (“Terms”) govern your access to and use of the ezDial platform, services, applications, APIs, numbers, AI features, and related functionality (“Services”). By using ezDial, you agree to these Terms.

1. Commercial Model – Pre-Paid Only

ezDial operates on a strictly pre-paid basis. All plans, numbers, and usage must be paid for in advance before being made available.

There is no post-pay billing, invoicing in arrears, or credit facility unless explicitly agreed in writing.

2. Plans, Seats & Access

Access to the platform is provided via subscription plans which may include:

  • Seat-based access
  • Included usage allowances (where stated)
  • Feature entitlements based on plan tier

Subscription fees are charged in advance for the selected billing period. Plans renew automatically unless cancelled.

3. Usage & Drawdown

Usage-based services may include (but are not limited to):

  • Voice call termination
  • AI processing (e.g. real-time analysis, transcription, coaching)
  • Messaging or number-related activity

Where usage is not included within your plan, usage charges are deducted from your pre-paid balance on a per-use basis.

Usage rates are defined within the platform or associated pricing pages and may vary by service, destination, or processing type.

4. Pre-Paid Balance & Top-Ups

You may be required to maintain a positive pre-paid balance to continue using certain Services.

  • Balances are drawn down automatically as usage occurs
  • Top-ups must be completed in advance
  • Failure to top up may result in service restriction or suspension

ezDial is not responsible for service interruption caused by insufficient balance.

5. Numbers

Any numbers provided (including virtual or mobile numbers) are supplied on a rental basis only.

  • Numbers remain the property of the issuing provider
  • Pre-payment is required to keep numbers active
  • Numbers may be withdrawn if payment lapses

Number availability, portability, and retention are subject to third-party provider and regulatory rules.

6. Cancellation

You may cancel your plan at any time.

  • Cancellation stops future charges
  • Access remains until the end of the paid period
  • No refunds are issued for unused time or balance

7. No Refund Policy

All payments are non-refundable.

This includes, but is not limited to:

  • Subscription fees
  • Pre-paid balances
  • Unused usage allowances
  • Number rental fees

8. AI Services Disclaimer

AI-generated insights, suggestions, or recommendations are provided for informational and assistive purposes only.

EzDial does not guarantee outcomes, accuracy, or performance improvements. Users remain fully responsible for decisions and actions taken.

9. Suspension & Fair Use

We reserve the right to suspend or restrict access where:

  • Balances are insufficient
  • Usage is abusive, excessive, or non-genuine
  • Activity threatens platform stability or security
  • Legal or regulatory obligations require it

10. Intellectual Property

All platform software, AI models, interfaces, and content remain the intellectual property of ezDial or its licensors.

11. Limitation of Liability

To the maximum extent permitted by law, ezDial shall not be liable for indirect, incidental, or consequential losses, including loss of revenue, data, or business opportunity.

12. Changes to These Terms

These Terms may be updated from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales, unless otherwise required by applicable law.
